Terms and Conditions

Emi Milo PF. Innospace Tirana ("us", "we", or "our") operates the Innospace Tirana coworking space and the website at http://www.innospacetirana.com (the "Site"). These Terms and Conditions govern your membership, your use of our services, and your access to the Site. By becoming a member or using our services, you agree to be bound by these terms.

The services Innospace Tirana provides to you (including, but not limited to, the use of office space and access to the internet) are subject to the following Terms of Use ("TOU"). Please feel free to contact us at info@innospacetirana.com with any questions regarding these terms.

Membership and Fees

  • The monthly fee is the amount agreed in your Membership Agreement. Payment is due on the first day of each month and is considered late if received after the 5th. A 10% late fee is applied on the 6th.
  • All preliminary negotiations between the parties are merged into, and superseded by, this agreement. It is not enforceable until signed by both Management and Member, and any modification must be in writing and signed by both parties.
  • Office leases are subject to the terms and conditions of the individual contracts between Innospace Tirana and the leasing party.

Use of the Premises

  • Members may share all common spaces (for example, the member lounge, hallways and restrooms) equally with other members.
  • Members may not sublease space or resell any service already offered and sold by Innospace Tirana. This includes, but is not limited to, sharing, gifting or reselling meeting-room hours.
  • A guest is defined as a person or persons visiting a member for a period not to exceed one workweek.

Meeting Rooms and Credits

  • Please use the member booking portal to check the available times and dates for each meeting room. If you have a long or important meeting scheduled, please reserve a room in advance so as not to affect other members.
  • Any bundled meeting-room hours expire every 120 days and are non-cumulative annually.
  • Member credits may not be resold, shared or gifted, and monthly credits do not roll over.

Term and Termination

  • Month-to-month: requires a 20-day notice ending on the last day of the concluding 30-day period.
  • 6-month and 12-month terms: if you do not wish to renew, a 30-day notice must be submitted 30 days before the agreement's termination.
  • Innospace Tirana reserves the right to terminate any service at any time, and to terminate your use of any service immediately and without notice if you fail to adhere to the Community Guidelines below.

Acceptable Use

As a condition of your use of the services, you agree that you will not:

  • Use the services for any purpose that is unlawful or prohibited by these terms.
  • Damage, disable, overburden or impair any Innospace Tirana server or connected network, or interfere with any other party's use and enjoyment of the services.
  • Attempt to gain unauthorized access to any service, account, computer system or network through hacking, password mining or any other means.
  • Use the services in connection with contests, pyramid schemes, chain letters, junk email or spam, or any duplicative or unsolicited message.
  • Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights of others, including their rights of privacy and publicity.
  • Publish, post, upload or distribute any inappropriate, profane, defamatory, obscene, indecent or unlawful material.
  • Upload material protected by intellectual-property rights unless you own or control those rights or have received all necessary consent.
  • Upload files that contain viruses, worms, corrupted files or any other software that may damage the property of another.
  • Harvest or collect information about others, including email addresses, without their consent, or create a false identity to mislead others.

You represent and warrant that you have the legal power and authority to enter into and abide by these terms, and that your use of the services will not breach any other agreement to which you are a party. Innospace Tirana reserves the right to disclose information about you and your use of the services as necessary to satisfy any applicable law, regulation, legal process or government request.

Confidentiality

  • During your use of the services you may be exposed to Confidential Information - non-public, confidential or proprietary information disclosed by Innospace Tirana or any user of the services.
  • Confidential Information includes, without limitation, information about the business, sales, operations, know-how, trade secrets, technology, products, employees, customers, marketing plans and financial information, as well as any knowledge gained through observation of or access to the facilities, systems or records of Innospace Tirana.
  • You agree to maintain all Confidential Information in strict confidence, not to disclose it to third parties, and not to use it in any way detrimental to Innospace Tirana or any user of the services. All Confidential Information remains the sole property of the disclosing party.

Community Guidelines

  • Respect the space and schedule. Be conscientious of meeting-room schedules and policies so you do not negatively impact others.
  • Clean up after yourself. Cleanliness is essential in a shared space. Please make sure your flex or permanent workstation is clean and tidy before you leave, and dispose of cups and napkins. As a general rule, treat the space the way you would want your own home treated.
  • Respect boundaries. Be mindful of other people's space. Flex seating is shared, but a permanent desk is off-limits. If someone is wearing headphones or taking a call in a phone booth, please do not distract them.
  • Contribute to the community. We encourage members to network and introduce themselves. Discriminatory behaviour and harassment toward fellow members will not be tolerated - it is their space too.

Limitation of Liability

To the maximum extent permitted by applicable law, and notwithstanding any damages you might incur for any reason, the entire liability of Innospace Tirana and its affiliates, officers, agents, members, employees and assigns under these terms - and your exclusive remedy - is limited to the actual damages you incur based on reasonable reliance, up to ten euro (EUR 10.00). These limitations apply even if any remedy fails its essential purpose. You acknowledge that you use the services at your own free will and that Innospace Tirana has no liability for your access to or use of the services, or for any loss of information resulting from such use.

Indemnification

You agree to indemnify, defend and hold harmless Innospace Tirana and its affiliates, officers, agents, members, representatives, employees and assigns from and against all claims, liabilities, losses, damages, costs, expenses, judgments, fines and penalties arising out of your negligent actions, errors, omissions, wilful misconduct or fraud in connection with your use of the services. If you bring a claim or lawsuit in violation of this agreement, you will be liable for any attorneys' fees and costs incurred by Innospace Tirana in defending it.

Disclaimer of Warranties

To the maximum extent permitted by applicable law, Innospace Tirana provides the services "as is" and "with all faults", and disclaims all warranties and conditions, whether express, implied or statutory - including any warranties of merchantability, fitness for a particular purpose, accuracy, title, quiet enjoyment and non-infringement. The entire risk arising out of your use of the services remains with you. In no event will Innospace Tirana be liable for any direct, special, incidental, indirect, punitive or consequential damages whatsoever - including loss of profits, business interruption, personal injury or loss of privacy - arising out of or related to your use of, or inability to use, the services, even if Innospace Tirana has been advised of the possibility of such damages.

Changes to These Terms

Innospace Tirana reserves the right to update these Terms and Conditions at any time. We will attempt to notify you of any updates within 30 days of their enactment using the contact information provided in your Membership Agreement. Your continued use of the services after any changes are posted constitutes your acceptance of the modified terms.
